Welcome to Grafics ("we," "us," or "our"). Grafics is a product of Reeply B.V. These Terms and Conditions ("Terms") govern your use of our website grafics.io and the services provided therein.

By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

2. Services and AI Disclaimer

Grafics provides AI-powered marketing content generation services. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our services for your personal or business purposes, subject to these Terms.

Artificial Intelligence: Our services use artificial intelligence to generate content. While we strive for high quality, AI-generated content may not always be accurate, unique, or suitable for your specific needs. You are responsible for reviewing and verifying all generated content before use. We do not guarantee that generated content will be free from errors or non-infringing on third-party rights.

3. User Accounts and Credits

To use certain features, you must create an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Credits: Our service operates on a credit-based system. Credits are used to generate content. Credits purchased as part of a subscription plan may expire at the end of the billing cycle if not used, depending on your plan details. One-time credit purchases do not expire. Credits are non-refundable and have no currency exchange value.

4. Intellectual Property and User Content

The service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Reeply B.V. and its licensors.

You retain ownership of the content you generate using our platform ("Generated Content"), subject to the terms of our AI service providers. We grant you a perpetual, worldwide, royalty-free license to use, copy, modify, and distribute your Generated Content for any purpose, including commercial use.

User Uploads: By uploading images or text ("User Content") to our platform, you represent and warrant that you have the necessary rights and permissions to use such content. You grant us a license to process, store, and use your User Content solely for the purpose of providing the service to you. You are solely responsible for any User Content you upload.

5. Fair Usage Policy

You agree not to misuse our services. This includes, but is not limited to:

• Automating access to the service without our permission (scraping, botting).
• Using the service to generate illegal, harmful, or offensive content.
• Attempting to reverse engineer the underlying AI models or software.
• Sharing your account credentials with others to bypass usage limits.

We reserve the right to suspend or terminate accounts that violate this policy.

6. User Data and Privacy

We collect and use your personal data as described in our Privacy Policy. By using our services, you agree to such processing and warrant that all data provided by you is accurate.

7. Payments and Refunds

Certain parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually).

Refunds are handled on a case-by-case basis and in accordance with applicable consumer protection laws. Please contact support for any billing issues.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

9. Limitation of Liability

In no event shall Reeply B.V., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of The Netherlands, without regard to its conflict of law provisions.
